  • Payment Structure: The agreed-upon Fees (fixed, hourly, or retainer), clarification on the application of GST, and Payment Terms (e.g., within 14 days of invoice).

  • Cancellation and Changes: The required notice period for either party to change or end the agreement,.

  • Intellectual Property (IP): Clauses defining ownership of IP created during the services and any necessary licences to use the Service Provider's existing IP (Background IP).

  • Confidentiality: Mutual obligations to protect Confidential Information and restrictions on its use or disclosure, surviving the termination of the agreement.

  • Termination: Conditions under which the agreement can be ended, including termination for a material breach or insolvency.
