In today’s Feature Friday, let’s look at how DocuSign works with flexmls forms. </p>
<p>DocuSign electronic signature service allows you to send forms for e-signature and e-sign forms. Using flexmls forms and DocuSign together, you can send forms using email to gather the legally binding electronic signatures you need. </p>
<p>If you’re already a DocuSign subscriber, you can connect your DocuSign account and your flexmls account. Sign in once, and each time you visit the DocuSign tab after, you can create new DocuSign envelopes for electronic signature. </p>
<p>If you aren’t yet a DocuSign subscriber, you can use the DocuSign tab to learn more about electronic signature from DocuSign, or to sign up. </p>
<p>Once you’re signed in, the DocuSign tab will allow you to select all forms in the current flexmls forms folder, the current form, or any combination of forms.</p>
<p>On the right hand side, you can assign people to the roles defined in the selected forms. The roles listed will be those included in any of the forms in the folder, so you can send the forms to the appropriate parties. </p>
<p>If you’ve used the auto-populate feature on the forms, the corresponding roles in the DocuSign tab will already be filled in. </p>
<p>Use the order box to designate the order in which the documents should be signed. Below, you can add additional recipients as signers, or you can send a carbon copy to a non-signing party. </p>
<p>Click “Create Envelope” to continue to the DocuSign page. </p>
<p>If you’ve previously created envelopes for the forms folder, the DocuSign tab will also have links to any related envelopes. Envelopes are listed by the creation date, along with status, and the subject of the DocuSign message relating to the envelope, included for your reference. </p>
<p>If you need to make changes to your DocuSign settings, click on the “DocuSign Settings” option under “forms” on your menu. </p>

When you do business electronically, you should anticipate the need to produce evidence that proves a given person signed a given electronic document on a given date. That means you should look at taking such steps as:</p>
<ul>
<li>Including authentication procedures to verify the identity of the signatory</li>
<li>Maintaining evidence of the particular electronic document that was signed electronically</li>
<li>Maintaining evidence of the electronic process that was followed in obtaining the electronic signature on the electronic document</li>
</ul>
<p>In <em>Prudential Insurance Company of America v Dukoff</em>, the US District Court for the Eastern District of New York affirmed the importance of implementing clear electronic transaction procedures. Prudential initiated the action to void a life insurance policy issued on the life of the wife of the defendant and beneficiary on the basis of alleged misrepresentations in the application.</p>
<p>In response to Prudential’s complaint, defendant Dukoff and his wife’s estate filed a counterclaim for the full value of the policy, disputing the charge that it had been procured via fraud. The court was also called upon to consider a host of issues stemming directly from the fact that the application was submitted electronically via what the court called “a standard internet click-through process.”</p>
<p>The defendants argued that a box that was checked at the end of the electronic application process did not constitute a valid electronic signature under New York’s Electronic Signatures and Records Act (ESRA), and thus, Prudential was barred from challenging statements in the application to invalidate the contract.</p>
<p>While the court was unaware of any other court that had addressed the validity of electronic signatures for insurance documents under ESRA, in deference to holdings in advisory opinions by the New York Insurance Department, the court held that Prudential could challenge the statements if Prudential could reasonably identify the person who made them. The court then held that there was a triable issue of fact as to whether the final page of the application, which included personal information inputted by the applicant, sufficiently identified the person who signed the application.</p>
<p>The electronically filed application also raised <strong>evidentiary issues with regard to who actually submitted the application and when</strong>. According to the court, a computer printout produced by the plaintiff insurer shows the application was submitted on a date suggesting that Mrs. Dukoff did not submit the application. The court concluded, however, that the plaintiff insurer did not offer sufficient evidence to establish that this printout accurately reflects the date of submission.</p>
<h2>Considerations When Choosing an Electronic Signature Vendor</h2>
<p>Given that you may need to provide evidence that a given person signed a given electronic document on a given day, you should understand your electronic signature provider’s authentication services, the electronic signature capture process and subsequent documentation and the value of selecting a neutral third party provider.</p>
<h3>Authentication</h3>
<p>DocuSign provides an integrated authentication system that works with the electronic signature process to ensure any level of authentication can be provider and that the <strong>authentication provides positive identification of the person signing</strong>, NOT the equipment.</p>
<p>DocuSign’s authentication process is designed and architected with no single point of authentication failure. Authentication can be required each time a signer reviews and signs a document, if requested. One authentication session for a document from company “A” does not mean company “B” must rely on that authentication, as is the case with PKI digital certificates.</p>
<p><strong>DocuSign’s Authentication Systems</strong></p>
<ol>
<li>Email Authentication: validates a person’s email address and access to that email address.</li>
<li>Access Code Authentication: validates a person’s ability to provide a shared secret or passphrase.</li>
<li>ID Check: validates a person’s knowledge based on a knowledge-based authentication process provided by RSA.</li>
<li>OFAC Checking: validates whether a person’s name is on the Specially Designated Nationals List administered by the Office of Foreign Assets Control.</li>
<li>Age Verification: validates a person’s age is correct as entered.</li>
<li>Federated Authentication: accepts and records authentication by another system when integrated with DocuSign. This can be any form.</li>
<li>Two Factor Biometric Authentication: validates a person’s phone number and access to that phone number. This authentication process also records a voiceprint of the signer.</li>
</ol>
<p>Additionally, DocuSign’s authentication system supports a workflow of authentication for integrated customers, enabling decision-making during the authentication process. <strong>DocuSign also collects the IP addresses of all users and time stamps all activity into the encrypted, tamper-proof audit trail along with all the authentication results</strong>.</p>
<h3>The DocuSign Electronic Signing Process</h3>

<p><strong>Visible Elements of a DocuSign Electronic Signature:</strong></p>
<ol>
<li>Script Signature Name: The script-written name generated in the DocuSign system by the document signer has legal significance, as the signer is required to agree that the script signature will have the same legal effect as his or her handwritten signature.</li>
<li>&#8220;DocuSigned By:&#8221; Box: Every electronic signature is bordered by a signature block that contains a portion of the signer’s Globally Unique Identifier (GUID) A GUID is a 128-bit number in hexadecimal form, such as { 3F2504E0-4F89-11D3-9A0C-0305E82C3301}, which is created for the signer by DocuSign. This partially visible GUID conceals the full ID.</li>
</ol>
<p><strong>Invisible Elements of a DocuSign electronic signature:</strong></p>
<ol>
<li>GUID: Each person in the DocuSign system has a unique GUID, a pseudo-random number used in software applications. Each GUID is “mathematically guaranteed” to be unique, based on the principle that the total number of unique keys is so large that the possibility of the same number being generated twice is virtually zero. The full GUID is associated with a user upon authentication and electronic signature creation. The signer – electronic signature association is managed by DocuSign, encrypted and hashed to ensure that it cannot be modified. The hashing process entails the application of an algorithm to the GUID to create a digital representation of the GUID, resulting in a “hash value.” Any change in the underlying document would produce a different hash value, which would be evidence of tampering.</li>
<li>Hash of Signature: The entire signature element is stored in the DocuSign system in secure (hashed) format.</li>
<li>Signer Certificate: The data structure of the DocuSign system links a signer’s attributes, GUID and signature stamp to ensure that only that particular person ever has access to use that particular electronic signature.</li>
</ol>
<p>The visible and invisible elements work together to link the person, document and electronic signature in an auditable system. Copying or duplicating only the visible elements of the electronic signature does not compromise the signer’s identity because only the invisible elements are solely under the electronic signature owner’s control.</p>
<p>Due to DocuSign’s strict adherence to the authentication and electronic signature process, which includes the signer’s involvement in creating and placing his or her electronic signature in specified locations on documents, DocuSign enables the most familiar and enforceable process for signers. <p>As of today, the United States Senate and the United States House of Representatives both passed resolutions at the request of DocuSign® and industry leaders designating June 30 – the date of the historic 10th anniversary of the Electronic Signatures in Global and National Commerce Act (ESIGN) – as “National ESIGN Day.” The resolutions were the result of an effort spearheaded by us, as the leading provider of the most trusted cloud computing <a href="http://www.docusign.com">electronic signature platform</a>, as a means to acknowledge the vital role of e-signatures in the development and continued growth of interstate and foreign commerce, and commemorate the ESIGN Act, which was signed by President Bill Clinton on June 30, 2000.</p>
<p>Led by U.S. Senator Patty Murray (D-WA) with support from U.S. Senator Maria Cantwell (D-WA) in the Senate and by U.S. Congressman Jim McDermott (D-WA) in the House, the resolutions recognize the previous contribution made by the Congress to the adoption of modern solutions that keep our nation on the leading technological edge, and reaffirms the Congress’s commitment to facilitating interstate and foreign commerce in an increasingly digital world and encouraging more efficient and environmentally-conscious business practices.</p>
<p>In <a href="http://www.docusign.com/resources/videos/esign_day">support of the measure, McDermott </a>stated,</p>
<blockquote><p>ESIGN has greatly improved the ability of companies in my district to be more effective and competitive in the global marketplace. Res. 576</a>) at our request, designating June 30, 2010 – the date of the historic 10th anniversary of the Electronic Signatures in Global and National Commerce Act (ESIGN) – as “National ESIGN Day 2010.” The resolution was the result of an effort spearheaded by DocuSign, leading provider of the most trusted cloud computing electronic signature platform, as a means to acknowledge the vital role of e-signatures in the development and continued growth of interstate and foreign commerce, and commemorate the ESIGN Act, which was signed by President Bill Clinton on June 30, 2000. The United States House of Representatives is anticipated to vote on similar legislation, which is being led by <a href="http://www.docusign.com/resources/videos/esign_day">U.S. Congressman Jim McDermott (D-WA)</a>, this week.</p>

<blockquote><p>Whereas the Electronic Signatures in Global and National Commerce Act (ESIGN) was enacted on June 30, 2000, to ensure that a signature, contract, or other record relating to a transaction may not be denied legal effect, validity, or enforceability solely because it is in electronic form;</p>
<p>Whereas Congress directed the Secretary of Commerce to take all actions necessary to eliminate or reduce, to the maximum extent possible, the impediments to commerce in electronic signatures, for the purpose of facilitating the development of interstate and foreign commerce; and</p>
<p>Whereas June 30, 2010, marks the 10th anniversary of the enactment of ESIGN and would be an appropriate date to designate as ‘‘National ESIGN Day’’: Now, therefore, be it</p>
<p>Resolved by the House of Representatives (the Senate concurring), That Congress—(1) supports the designation of a ‘‘National ESIGN Day’’; (2) recognizes the<br />
previous contribution made by Congress to the adoption of modern solutions that keep the United States on the leading technological edge; and (3) reaffirms its<br />
commitment to facilitating interstate and foreign commerce in an increasingly digital world.</p></blockquote>

<p>Technology partners, DocuSign and Authentify, today announced that DocuSign has integrated Authentify’s automated phone call and voice capture authentication process into the DocuSign <a href="http://www.docusign.com">electronic document signature service</a>. This authentication option is available now with the DocuSign Spring ’10 release.</p>
<p>According to Tom Gonser, DocuSign founder and chief strategy officer, the addition of the two-factor biometric telephone and voice authentication process further strengthens the signature and audit trail without adding complexity to the eSignature process:</p>
<blockquote><p>All the recipient needs to do is answer the phone call and follow a simple instruction on the computer screen. It’s a very natural extension of our electronic signature process. The synchronization of the Web and telephony process requires users to interact simultaneously during the signing engagement. The entire transaction is documented, including captured authentication data during each stage until completed. The end result is a transaction backed by a solid, defensible audit trail.</p></blockquote>
<p>The DocuSign <a href="http://www.docusign.com/products/docusign/whats_new.php#biometric">telephone biometric authentication process</a> is a flexible solution that is fully integrated into its eSignature platform. This optional DocuSign feature is sender and signer friendly, and available at a nominal charge. DocuSign users prepare documents for signature in the online DocuSign Console, click on Authentication and enter the recipient’s phone number. When the recipient e-signs the document using DocuSign, the process triggers an automated telephone call powered by Authentify to the specified recipient phone number, collects a spoken consent and builds a biometric authentication record for ironclad non-repudiation of the signature. The biometric voice print can be used much like a fingerprint in the event of a challenge.</p>

<p><strong>“Conserve paper and be green”</strong> is the mantra for the overwhelming majority (85%) of Americans, according to a recent survey of more than one thousand U.S. adults conducted by Harris Interactive® for DocuSign, Inc. The broad consumer survey reveals nearly three in four adults are frustrated with completing paper-based documents, and provides a compelling snapshot of consumer preferences and the growing role smart phones are having on the average person’s daily activities.</p>
<p><strong>Goodbye Paper</strong><br />
With the proliferation of web-based applications, e-readers and mobile computing platforms that make it easy for consumers to do more online and stay connected 24&#215;7, it is no surprise that most people want to say bye-bye to paper documents. The nearly three in four (72 percent) adults who are frustrated with completing paper-based forms, documents or business agreements cite the following reasons filling out hardcopy forms is a pain:</p>
<ul>
<li>72% stated the fields in many forms and documents were often too small to write in</li>
<li>38% said it’s too inconvenient to return signed paper documents by fax or mail</li>
<li>34% said their handwriting was too messy for others to read</li>
<li>23% make too many mistakes</li>
</ul>
<p>Forty-four percent agreed that overnight express services like UPS and FedEx cost too much and are too slow for signing business documents and agreements. More than a third (36%) would stop using an overnight express service if they could sign forms and business agreements online; this number spikes for people in their prime working years: 54 percent aged 18-34, and 40 percent aged 35-44 would stop using express services to shuttle paperwork around the world if they could.<br />
For tech savvy consumers used to searching for and storing documents electronically, keeping track of paper can be challenging. For example, only twenty percent of all adults admitted to accidentally losing or destroying important paper-based documents, but nearly one in three (30%) young adults aged 18-34 have trouble keeping hardcopy documents safe.<br />
<strong> </strong></p>
<p><strong>Untethered and Always On</strong><br />
Eighteen percent of all adults said, in addition to a computer, the use of a mobile device—such as a RIM® BlackBerry® or Apple® iPhone®—was needed to conduct their day-to-day business. Nearly half (44%) were in the highest income groups (household incomes of $75,000 or more), suggesting that their high-powered professions were faster-paced and required immediate client responses or turnaround.</p>
<p><strong>E-Sign Rising</strong><br />
Virtually all adults (96%) agreed that their handwritten signature is an important part of their identity. Yet, the majority (63%) preferred typing on a computer to writing by hand, and 2 in 3 (66%) wish they could complete and sign certain forms and business agreements online. The good news is that modern e-signature services enable consumers to upload an e-copy of their signature to better replicate the ceremony of signing and retain that sense of personal identity.<br />
The types of forms most U.S. adults wish they could sign online include, among others (respondents could select more than one):</p>
<ul>
<li><strong>Employment or HR documents</strong>— job applications, W-2 or 1099 forms, 401K enrollment, etc. (47% overall, 62% of those with “high-powered careers,” defined here as adults residing in households with annual incomes of $100,000 or higher)</li>
<li><strong>Child’s school documents</strong>—immunization forms, field trip waivers, absentee excuses, etc. (47% overall, 62% of those with high-powered careers)</li>
<li><strong>Insurance documents</strong>—enrollment forms, policy change authorizations, claims, etc. (44% overall, 65% of those with high-powered careers)</li>
<li><strong>Business contracts</strong>—purchase orders, approvals, etc.(38% overall, 55% of those with high-powered careers)</li>
<li><strong>Medical or dental documents</strong>—patient information forms, insurance carrier or coverage documentation, etc. (36% overall, 47% of those with high-powered careers)</li>
<li><strong>Real estate documents</strong>—rental or lease agreements, realtor contracts, inspections, waivers, etc. (30% overall, 49% of those with high-powered careers)</li>
</ul>
<p>Steve King, president and CEO of DocuSign, provides his insight to survey results:</p>
<blockquote><p>This survey reflects the changing behaviors among adults across the United States and their desire to complete and sign documents online to be more productive and environmentally friendly. DocuSign is seeing a tipping point of adoption of our web-based electronic signature service, and as a company we’ve processed roughly 80 million transactions to date. Consumers who use the service for the first time to secure a loan, sign real estate documents and manage other paperwork are usually surprised as to how intuitive DocuSign is and how closely it replicates the experience of signing documents the old-fashioned way, but without the delays and hassles of paper.</p>
<blockquote><p>DocuSign conducted the survey on the eve of the 10-year anniversary of the Electronic Signatures in Global and National Commerce Act (ESIGN) Act. The ESIGN Act validated the use of electronic records and signatures in interstate and foreign commerce, and launched a decade of phenomenal growth in electronic commerce that made it easier for people to get things done and transact business. <p>We&#8217;re announcing the availability of DocuSign Spring ‘10, the latest release of the company&#8217;s award-winning e-signature service.  This version offers unprecedented capabilities for signers to negotiate critical elements of transactions during the signing process.  Other advancements include two-factor phone authentication, agent-managed transaction support, enhanced PowerForms 2.0 embeddable forms and dynamic form fields. In addition, this version offers enhanced Designed for Mobile functionality specifically for Apple® iPhone® and iPad®, and Google® AndroidTM mobile devices.</p>
<p>More than ever, organizations are seeking on-demand solutions like DocuSign to automate core business processes, reduce costs and increase productivity.  From a quick electronic signature on a sales contract to a complex agreement requiring multi-party signatures, data collection and specific workflow, DocuSign has the most complete solution available. These new capabilities offers DocuSign users support a broad array of business transactions that involve collaboration as well as signing.</p>
<p><strong><em>Negotiation/Document Markup.</em></strong> For the first time ever, signers have the option to negotiate critical elements of agreements on the fly faster, easier and more efficiently than paper.  DocuSign has eliminated the problems associated with paper negotiations—no more difficult to read photocopies or undecipherable handwritten edits. Signers can ‘white out’ and initial small changes digitally.  All changes are tracked, and the system automatically asks all parties to initial all changes. The document remains neat, easy to read and secure. Collaboration is an option that can be applied to the entire document, to specific sections of the document or locked from any changes at all.</p>
<p><strong><em>Agent Role.</em></strong> Many business transactions are managed by agents, attorneys, real estate agents and brokers. Documents are originated, but sent to agents to manage the review and collection of signatures.  Now using DocuSign’s Agent Role, agents can receive agreements and electronically manage the transaction for their clients.  Agents may review the contract for their customers, assign recipients and even add additional documents or signatures.<br />

<p><strong><em>Collaborate in the Cloud.</em></strong> Through a partnership with Box.net, the leading online collaboration tool, the DocuSign eSignature service will be available to all Box.net users to offer a complete end-to-end collaboration through close process. Box.net allows users to create and collaborate on content in the Cloud. Adding the power of DocuSign offers Box.net users a fast and simple way to close agreements in one seamless digital workflow.</p>
<p><strong><em>Biometric Phone Authentication.</em></strong> When signer identity is important, DocuSign offers advanced, state of the art biometric phone authentication.  This new authentication option delivers strong two-factor authentication with the ease of answering the phone. DocuSign’s system places a call to the signer to validate identity and then records a biometric voice print. The biometric voice print can be used much like a fingerprint if there is ever a challenge.</p>
<p><strong><em>Dynamic Data Collection.</em></strong> DocuSign converts ordinary static forms into dynamic forms. Based on input provided by the signer, additional fields appear to ensure right data is collected for every situation.  Any DocuSign SecureField™ form field can become dynamic including text, multi-line, checkbox, radio button or drop down.  Dynamic forms can even be used to manage signature authority by ensuring only those with the proper title are approved to sign.<br />

With a few mouse clicks, users can add powerful forms to a website that collect data and a signature, then deliver the completed form to any destination.</p>
<p><strong><em>Email to Signature.</em></strong> Email attachments requesting signatures can easily become a DocuSign electronic envelope. Signers simply forward the DocuSign Envelope to drafts@docusign.net. An envelope is automatically created and users can sign the attachments from anywhere in the world.</p>
